1. Acceptance
These Terms of Service (the "Terms") form a legal agreement between you and MyStages LLC, a Tennessee limited liability company with registered address 1616 West End Ave, Nashville, TN 37203, USA ("MyStages", "we", "us", "our"). By creating an account, buying a ticket, tipping an artist, or otherwise using our mobile app, our website at mystages.app, or any related service (together, the "Service"), you agree to these Terms. If you do not agree, please do not use the Service.
These Terms supplement, but do not replace, your separate agreements with the Apple App Store or Google Play if you downloaded our app from either store.
2. Who These Terms Apply To
We refer to everyone using the Service as a "User". Users who create events, sell tickets, or receive tips through the Service are "Pros". Certain additional terms in Section 12 apply only to Pros.
3. Eligibility
You must be at least 16 years old to use the Service. If you are between 16 and the age of majority where you live, you confirm that a parent or legal guardian has read these Terms with you and agrees to them on your behalf. Some features, including ticket purchases for age-restricted events, may require you to be 18 or older.
4. Your Account
You agree to provide accurate information when registering, to keep your credentials secure, and to notify us promptly of any unauthorized access. You are responsible for all activity under your account.
You can delete your account at any time from within the app, as described in our Privacy Policy. Some data may be retained where required by law or to resolve disputes, and some content (such as tickets you issued to other Users) may remain valid after your account is deleted.
5. Our Role: Platform, Not Event Organizer
MyStages is a technology platform. For ticket sales we act as the disclosed agent of the Pro who is offering the event. Your contract for the event itself, including admission, performance, and on-site experience, is with the Pro, not with us. The Pro is solely responsible for producing the event, admitting ticket holders, complying with applicable law, and obtaining any required licenses and insurance.
We are not responsible for event cancellation, postponement, changes in lineup, venue conditions, or the conduct of any Pro, attendee, or third party at an event.
For tips, we facilitate payments from Users to Pros. Tips are voluntary contributions. We do not guarantee that a Pro will acknowledge a tip or fulfill any request you include with it.
6. Buying Tickets
When you buy a ticket through the Service you agree to pay the displayed price (including fees and taxes) and to comply with the admission rules set by the Pro and the venue. Tickets are delivered within the app and, where supported, as Apple Wallet passes. A ticket is an admission right, not a financial instrument, and may not be resold outside the Service.
Prices, fees, and availability are set by the Pro, except for additional disclosures we may add where required by law (for example, all-in pricing rules). The Pro is responsible for ensuring that pricing complies with law.
7. Refunds and Event Cancellations
Refund policies for tickets are set by the Pro and shown to you before you buy. Unless the Pro's policy or applicable law provides otherwise, ticket purchases are final. We may (but are not obliged to) issue refunds on the Pro's behalf in accordance with minimum standards we publish from time to time. If we do, the Pro remains solely responsible for the refunded amount and agrees to reimburse us.
If a Pro cancels, materially changes, or fails to hold an event, the Pro is responsible for refunding affected ticket holders. We may assist in facilitating those refunds but are not the party liable for them.
8. Right of Withdrawal for EU Consumers
If you are a consumer in the European Union or European Economic Area, you do not have a 14-day right of withdrawal for tickets to live events scheduled on a specific date (Article 16(l) of Directive 2011/83/EU; in Germany, §312g(2) Nr. 9 BGB). By completing your purchase you acknowledge this exclusion.
Withdrawal rights for other purchases (for example, certain subscription plans) are unaffected and are described where relevant in the purchase flow.
9. Tips
Tips sent to Pros are voluntary contributions. Tips are processed immediately and are non-refundable once the payment is authorized, except where required by law or where we determine a refund is warranted due to fraud or abuse.
You can add an optional message to a tip, such as a song request or note. Pros are free to read, ignore, or respond to your message as they choose. Pros are under no obligation to fulfill any request contained in a tip message, and we make no representation that any request will be honored.
10. Payments and Fees
We use Stripe to process payments. By making a payment you agree to Stripe's Services Agreement (stripe.com/legal/ssa) and authorize us to share the information needed to process your payment with Stripe.
We charge a platform fee that is disclosed before you complete a purchase. Stripe charges separate processing fees to the Pro. You are responsible for any taxes on your use of the Service except where we are required by law to collect them.
11. Subscriptions
The Service may offer premium features for a recurring subscription fee. Subscriptions are billed through the app store from which you downloaded our app (Apple App Store or Google Play), subject to that store's terms.
Your subscription renews automatically at the end of each billing cycle at the then-current price unless you cancel at least 24 hours before the renewal date. You can cancel at any time in your device's app store settings. Cancellation takes effect at the end of the current billing period. We do not issue prorated refunds except where required by law. Refund requests for in-app subscription charges must be submitted to Apple or Google; we cannot issue those refunds ourselves.
12. Additional Terms for Pros
The following terms apply to you if you register as a Pro. By creating events, listing tickets, or accepting tips, you represent that you have legal authority to do so.
12.1 Stripe Connected Account
To receive payments, you must create a Stripe Connected Account and agree to the Stripe Connected Account Agreement (stripe.com/connect/account-terms). You authorize us to share your data with Stripe and to act on your behalf as described in that agreement. Stripe is not responsible to you for the Service; we are.
12.2 Identity and Business Information
If you act in a commercial capacity, you are a "trader" under the EU Digital Services Act (Regulation (EU) 2022/2065). You must provide accurate information we request under Article 30, including your name, address, phone number, email, identification document, payment account, and commercial register entry where applicable. We may suspend your ability to sell tickets if that information is incomplete or appears inaccurate.
12.3 Accuracy and Compliance
You are responsible for the accuracy of your event listings, pricing, refund policy, and all communications with attendees. You must comply with all laws applicable to your event, including licensing, insurance, venue regulations, health and safety, consumer protection, and tax law.
12.4 Refunds and Chargebacks
You bear sole financial responsibility for refunds and chargebacks relating to your events and tips. We may deduct refund amounts, chargebacks, and related fees from your balance or invoice them to you.
12.5 Email Broadcasts to Attendees
When you send email broadcasts through the Service to attendees of your event, you and MyStages act as joint controllers of the recipients' personal data under Article 26 GDPR for the purpose of that broadcast. You determine the message and the audience; we provide the infrastructure, logging, and technical safeguards. You must:
- Send only content relevant to the event or similar offerings by you.
- Honor unsubscribes promptly, and in any case within 10 business days as required by the US CAN-SPAM Act.
- Not send unlawful, misleading, or harassing content.
- Include your own physical postal address where required by applicable law.
You may not use attendee data obtained through the Service for any purpose outside your event relationship with the attendee without their separate consent.
12.6 Taxes and Reporting
You are solely responsible for your tax obligations. We may be required to report your revenues to tax authorities (for example, under DAC7 in the EU or Form 1099-K in the US) and will request the information needed to comply.
13. Your Content and the License You Grant Us
"Content" means anything you post, upload, or transmit through the Service, including profile photos and bios, event names and descriptions, event images, merchandise and social links, email broadcasts, and tip messages.
You retain all rights you have in your Content. You grant MyStages a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for technical purposes such as resizing or reformatting), display, and distribute your Content solely to operate, improve, and promote the Service and the parts of it where your Content appears. This license ends when you delete the Content or your account, except that (i) we may retain backup copies for a reasonable period, and (ii) Content that other Users have separately saved or received (for example, tickets issued to attendees) may persist.
You represent that you have all rights necessary to grant this license and that your Content does not infringe the rights of any third party.
14. Acceptable Use
You agree not to use the Service to:
- Post or transmit content that is illegal, harassing, defamatory, threatening, or that incites hatred or violence against protected classes.
- Post sexually exploitative content involving minors, or content that sexualizes minors in any way.
- Sell, promote, or facilitate the sale of firearms, controlled substances, or other regulated goods.
- Create fraudulent events, issue tickets to events you have no right to sell, or engage in speculative ticketing.
- Interfere with the Service, attempt to reverse engineer it, or access it by automated means except as we permit.
- Impersonate another person or misrepresent your affiliation with anyone.
- Send unsolicited commercial messages through the Service.
- Harass other Users through tip messages or any other feature.
- Circumvent our fees by routing transactions outside the Service.
We may remove Content and suspend or terminate accounts that violate these rules.
15. Reporting Illegal Content and IP Claims
15.1 Notice and Action
If you believe Content on the Service is illegal, infringes your intellectual property rights, or violates these Terms, you can submit a notice to legal@mystages.app. Please include a substantiated explanation of why the Content is illegal or infringing, a clear indication of its exact location (such as a URL or event ID), your contact details, and a good-faith statement of accuracy. For EU users, we handle notices consistent with Article 16 of the EU Digital Services Act.
MyStages does not host or play musical recordings, streaming audio, or similar media. The Service allows artists to upload their own profile material (bios, photos, event details, merchandise and social links) and to send messages to their ticket holders. Rights questions about an artist's own recorded performances, merchandise, or external content they link to should be raised directly with that artist. We will nevertheless act on well-founded notices submitted to legal@mystages.app where the Content in question is hosted on the Service, and we terminate accounts of repeat infringers in appropriate circumstances.
15.2 Appeals
If we restrict your Content, suspend your account, or decline to act on a notice you submitted, we will tell you the reason and, where required by Article 17 of the Digital Services Act, how to appeal internally within six months of our decision.
16. Moderation
We may, but are not obliged to, review Content on the Service. We may remove or restrict Content, and suspend or terminate accounts, where we reasonably believe a violation of these Terms or applicable law has occurred. Where required by Article 17 of the Digital Services Act, we provide a statement of reasons for such decisions. We may also suspend accounts that frequently submit manifestly illegal content or manifestly unfounded notices, consistent with Article 23 of the Digital Services Act.
17. Communications from Us
By using the Service you agree that we may contact you by email, push notification, and (where you provide a phone number) SMS regarding your account, purchases, events you are attending, and material changes to these Terms or the Privacy Policy. Marketing messages are sent only where permitted by law. You can unsubscribe from marketing at any time using the link in the message or in your account settings. We rely on "soft opt-in" for event-related marketing in jurisdictions that permit it, subject to your right to object.
18. Location Data
With your permission, we use your device location to show nearby events and improve recommendations. You can revoke permission at any time through your device settings. Coarse location, such as city, may still be derived from your account data to keep recommendations relevant.
19. Third-Party Services
The Service integrates services provided by third parties, including Clerk (authentication), Convex (data storage), Stripe (payments), RevenueCat (subscriptions), Sentry (error reporting), and push notification services operated by Apple, Google, and Expo. Your use of those services is also subject to their own terms. We are not responsible for third-party content or services linked from the Service, including streaming or merchandise links posted by Pros.
20. Apple App Store and Google Play Terms
If you downloaded our app from the Apple App Store or Google Play, the following also applies:
- These Terms are between you and us, not between you and Apple or Google. We, not the app store, are solely responsible for the app and its content.
- We grant you a limited, non-transferable license to use the app on Apple-branded products you own or control, or on Android devices you control, in accordance with the usage rules set out in the applicable store terms.
- Apple and Google are not responsible for providing maintenance or support for the app.
- If the app fails to conform to any applicable warranty that we have not disclaimed, you may notify Apple and Apple will refund the purchase price of the app; to the maximum extent permitted by law, Apple has no other warranty obligation.
- We, not Apple or Google, are responsible for addressing any claims by you or any third party relating to the app, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims under consumer protection law.
- We, not Apple or Google, are responsible for investigating and handling third-party intellectual property infringement claims relating to the app.
- You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a user of the app.
- You must comply with any applicable third-party terms when using the app (for example, your wireless carrier's agreement).
21. Disclaimers
Except as these Terms or applicable law say otherwise, the Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or reliability of Content posted by Users or Pros. Nothing in this section limits any statutory rights you have that cannot be limited, such as EU consumer warranty rights.
22. Limitation of Liability
To the maximum extent permitted by law, MyStages and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any lost profits, lost revenue, lost data, or costs of substitute services. Our total liability for any claim arising from or relating to the Service is limited to the greater of (a) the amount you paid us (excluding amounts forwarded to Pros or to Stripe) in the twelve months before the event giving rise to the claim or (b) one hundred US dollars.
The following is not limited or excluded: (i) liability for death or personal injury caused by our negligence, (ii) liability for fraud or fraudulent misrepresentation, and (iii) any liability that cannot be limited under applicable law. For consumers in Germany, our liability is not limited for damages caused by intent or gross negligence, or for breach of a cardinal contractual duty (wesentliche Vertragspflicht) insofar as required by §309 Nr. 7 BGB.
23. Indemnification
You agree to indemnify and hold MyStages harmless from third-party claims arising out of your use of the Service, your Content, your events (if you are a Pro), or your violation of these Terms or applicable law. We may take over the defense of any indemnified claim, at our expense and with your cooperation, if we choose.
24. Term and Termination
These Terms apply from the moment you first use the Service and continue until your account is deleted or we terminate them. We may suspend or terminate your access to the Service for material breach of these Terms, for conduct that creates legal or reputational risk for us or others, or as required by law. We will give reasonable notice where practical.
Sections that by their nature should survive termination (for example, your Content license, disclaimers, limitation of liability, indemnification, governing law) will survive.
25. Force Majeure
We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, pandemics, labor disputes, power or telecommunications failures, government action, and acts of third parties. This section does not excuse your payment obligations and does not affect any non-waivable consumer rights.
26. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes through the app, by email, or by other reasonable means, and update the "Last updated" date at the top. If you continue to use the Service after the changes take effect, you agree to the updated Terms. If you do not agree, you can delete your account.
For existing subscribers, material changes that reduce your rights will not apply to your current billing period.
27. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws rules. Disputes arising out of or relating to these Terms or the Service may be brought in the state or federal courts located in Davidson County, Tennessee, and you and we consent to the jurisdiction of those courts.
If you are a consumer habitually resident in the European Union, European Economic Area, United Kingdom, or Switzerland, the choice of law and venue above does not deprive you of the protection of the mandatory laws of your country of residence (Article 6 of Regulation (EC) No 593/2008 (Rome I)), and you may bring proceedings in the courts of your country of residence (Article 18 of Regulation (EU) 1215/2012 (Brussels I Recast)).
28. Dispute Resolution
Before starting formal proceedings, please contact us at legal@mystages.app so we can try to resolve the issue directly. Many disputes can be handled quickly that way.
Nothing in these Terms requires you to submit to arbitration. If you are a consumer, you remain free to use small-claims court and any dispute-resolution mechanism offered by your local consumer-protection authority.
29. General
These Terms are the entire agreement between you and us about the Service and supersede any prior agreements on the same subject. If any provision is held unenforceable, the rest remains in effect, and the unenforceable provision will be replaced by an enforceable one that reflects the original intent as closely as possible. We may assign these Terms without your consent to a successor in a merger, acquisition, or similar transaction; you may not assign these Terms without our written consent. Our failure to enforce any provision is not a waiver of our right to do so later.
